Prooflet Terms of Service
The agreement governing your use of Prooflet. The short version: Prooflet is a compliance aid — artwork finalization, and its consequences, rest with you.

These Terms of Service (the "Terms") are an agreement between you and Prooflet ("Prooflet", "we", "us") governing your use of the Prooflet software and websites (the "Service"). By creating an account or using the Service, you agree to these Terms. Questions: legal@prooflet.ca.
1. What the Service is — and is not
Prooflet is self-serve software that helps Canadian cannabis teams prepare packaging artwork: it lays out regulated elements, runs automated checks against public Health Canada packaging requirements, flags items for human review, and exports artwork packages with supporting reports.
Prooflet is a compliance aid only. It is not a law firm, regulatory consultancy, or government body, and nothing in the Service is legal, regulatory, or professional advice. Prooflet is not affiliated with, endorsed by, or approved by Health Canada or any regulator, and no output of the Service is certified, approved, or guaranteed to comply with the Cannabis Act, the Cannabis Regulations, Health Canada requirements, provincial or territorial requirements, converter or printer requirements, or any other law or production standard.
2. Your responsibility for artwork and compliance
You are solely responsible for everything you finalize with the Service. This includes:
- the accuracy and completeness of all product information you enter (including THC/CBD values, ingredients, and label facts);
- reviewing and approving all artwork before any use, submission, or production;
- your own regulatory review and compliance with all applicable laws, including the Cannabis Act and the Cannabis Regulations;
- printer/converter proofing and acceptance, and everything that happens in production.
Checks and reports produced by the Service are preparatory aids to your own review — they do not replace it, and passing checks does not mean artwork is compliant. All artwork finalization decisions, and their consequences, rest with you. You must not represent any output of the Service as certified, approved, or authorized by Health Canada or any authority.
3. Accounts
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. You must be of the age of majority in your province or territory and using the Service on behalf of a lawful business.
4. Plans, billing, and cancellation
Paid plans are billed monthly in Canadian dollars, in advance, through our payment processor (Stripe). Your subscription renews automatically each month until you cancel. Additional completed SKU packages beyond your plan's monthly allotment are billed at your plan's stated per-SKU rate. Applicable taxes are added based on your billing location.
You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, fees already paid are non-refundable; we may make exceptions at our discretion. We will give you at least 30 days' notice before any price increase takes effect for your plan.
5. Your content
You retain ownership of the artwork, brand assets, and product information you provide ("Customer Content"). You grant Prooflet a limited licence to host, process, display, and transmit Customer Content solely to provide the Service. You are responsible for having the rights to everything you upload.
6. Our property
The Service — including its software, checks, designs, and branding — belongs to Prooflet and its licensors. These Terms don't grant you any rights in it beyond use of the Service. If you send us feedback, we may use it without obligation.
7. Acceptable use
Your use of the Service is subject to the Acceptable Use & Artwork Responsibility Policy, which forms part of these Terms.
8. Data retention
Proof and export history is retained for the period stated in your plan. Account and workspace data is retained as described in the Privacy Policy. We may delete Customer Content after account closure, subject to our legal obligations.
9. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that its checks will identify every issue in your artwork. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
10. Limitation of liability
To the maximum extent permitted by law: (a) Prooflet will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, business interruption, regulatory penalties, product recalls, reprinting or production costs, or converter/printer rejections, arising from or related to the Service or your artwork — even if advised of the possibility; and (b) Prooflet's total aggregate liability for all claims relating to the Service is limited to the amounts you paid to Prooflet in the 12 months before the event giving rise to the claim. These limits apply regardless of the theory of liability. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnity
You will indemnify and hold Prooflet harmless from claims, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your artwork and its use in commerce, your breach of these Terms, or your violation of any law or third-party right.
12. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms or the Acceptable Use Policy, for non-payment, or where required by law. Sections 2, 5, 6, and 9–14 survive termination.
13. Changes
We may update the Service and these Terms. For material changes to the Terms we will give reasonable advance notice (for example, by email or in-product notice). Continued use after a change takes effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. Courts located in Ontario have exclusive jurisdiction, and you and Prooflet each attorn to them. Nothing in these Terms limits any non-waivable consumer rights under the laws of your province or territory.
